1. Acceptance of Terms
By downloading, installing, or using Prio ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App.
2. Description of Service
Prio is an AI-powered task management application for Android that helps you prioritize tasks using the Eisenhower Matrix. The App operates primarily on your device, with all personal data stored locally.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use Prio. By using the App, you represent that you meet this requirement.
4. User Accounts
Prio does not require an account to use. No registration, email, or personal information is needed. Your data is stored locally on your device and is not linked to any account on our systems.
5. In-App Purchases and Subscriptions
5.1 Available Purchases
Prio offers optional paid features through Google Play:

5.2 Free Tier
The free tier includes:
- Unlimited tasks with Eisenhower classification
- Unlimited rule-based AI classification
- 5 on-device AI classifications per day
- 3 active goals
- Reminders, calendar view, and quick capture
- Automatic local backups
5.3 Pro Features
Pro (Monthly, Annual, or Lifetime) unlocks:
- Unlimited on-device AI classifications
- Unlimited goals and milestones
- Full AI briefings and analytics
- Data export
- Restore from backup
5.4 Billing
- All purchases are processed through Google Play. We do not collect or process payment information directly.
- Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.
- You can manage or cancel subscriptions through Google Play Settings → Subscriptions.
- Refunds are subject to Google Play's refund policy. Contact Google Play support for refund requests.
5.5 Free Trial
- Monthly and annual subscriptions may include a 7-day free trial.
- If you do not cancel before the trial ends, you will be charged the subscription price.
- Free trials are available once per Google Play account.
5.6 Lifetime Purchase
- The Lifetime purchase grants permanent access to all Pro features for the life of the App.
- "Life of the App" means as long as Prio is available on Google Play and your device is compatible.
- Lifetime access is tied to your Google Play account and can be restored on new devices via "Restore Purchases."
5.7 Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will not affect the current billing period. You can cancel your subscription if you do not agree with a price change.
6. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the App (except as permitted by applicable law)
- Attempt to circumvent any security features, including encryption or purchase verification
- Use the App for any illegal purpose
- Distribute, sublicense, or resell the App or any part of it
- Interfere with the App's operation or other users' use of the App
7. Intellectual Property
- Prio, including its design, code, AI models, and content, is the intellectual property of the developer.
- You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.
- User-created content (tasks, goals, notes) remains yours. We claim no ownership over your data.
8. On-Device AI
- AI features are provided "as is." AI classifications and briefings are suggestions and may not always be accurate.
- You are responsible for reviewing and acting on AI-generated suggestions.
- AI processing occurs entirely on your device. We are not responsible for AI output quality, which may vary by device capabilities and model availability.
9. Data and Privacy
- Your use of Prio is also governed by our Privacy Policy.
- All personal data (tasks, goals, preferences) is stored locally on your device.
- We collect only anonymous crash reports and usage analytics (see Privacy Policy for details).
- You are responsible for backing up your own data. If you uninstall the App or clear its data, your locally stored information will be permanently deleted.
10. Disclaimers
- "AS IS" BASIS: Prio is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
- NO GUARANTEE OF AVAILABILITY: We do not guarantee that the App will be available at all times, uninterrupted, or error-free.
- AI ACCURACY: AI-generated task classifications, briefings, and suggestions are not guaranteed to be accurate. They are tools to assist your decision-making, not replacements for your judgment.
- DATA LOSS: Since data is stored locally on your device, we are not responsible for data loss due to device failure, theft, accidental deletion, or OS updates.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
- The developer's total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid for the App in the 12 months preceding the claim (or $0 for free users).
- These limitations apply even if the developer has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless the developer from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App or violation of these Terms.
13. Termination
- You may stop using Prio at any time by uninstalling the App.
- We may discontinue the App or any feature at any time with reasonable notice.
- Active subscriptions will be honored for the duration of the current billing period if the App is discontinued.
- Lifetime purchases will be honored for as long as the App remains available and your device is compatible.
14. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the App after changes constitutes acceptance. For material changes, we will provide notice within the App.
15. Governing Law
These Terms are governed by the laws of the jurisdiction in which the developer resides, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved in the courts of that jurisdiction.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
